Foreign Company Formation Services
Choose the right jurisdiction, incorporate an entity and start your business — with the bank account in place.
— European and Asian jurisdictions
— Offshore and zero-tax structures
— Company and bank account as a single project
One of the main services of Mistero Group is foreign company formation. We maintain a worldwide network of partners and work with direct, reliable agents in each jurisdiction rather than through intermediary chains.
A company is never the starting point of the conversation. The starting point is what the business actually needs to do — where its customers are, where its income arises, where its main officers sit, and which banks will be willing to serve it. The jurisdiction follows from that. A structure that looks efficient on paper is worthless if no bank will open an account for it.
What we set up
Ordinary companies with full legal capacity
Incorporation in European jurisdictions — Cyprus, the United Kingdom, Switzerland, Estonia, the Netherlands, Hungary, Austria, Spain, Luxembourg and others — as well as in Asian jurisdictions such as Hong Kong and Singapore.
These are ordinary trading companies with full legal capacity: they enter into contracts, employ staff, own assets, prepare and file accounts in the normal way.
Offshore companies
Incorporation of an offshore company under a name of your choosing in the British Virgin Islands, Panama, the Seychelles, Belize, St. Vincent, Mauritius and comparable jurisdictions.
Companies for special-purpose activities
Entities formed for a defined purpose rather than for general trading:
- holding companies for group ownership and dividend flows;
- companies holding and licensing intellectual property rights;
- special-purpose vehicles for individual transactions and joint ventures.
How the decision is made
Country information
Before recommending anything, we set out how a jurisdiction actually works: what the corporate forms are, what the real filing and audit obligations are, how much registration and maintenance of the company costs, and how the jurisdiction is currently regarded by banks and counterparties.
Comparison of jurisdictions
Most clients arrive with two or three countries in mind, usually based on something they have read. We compare them side by side on the criteria that matter to your case — substance requirements, tax treatment, reporting obligations, banking access, reputation and running costs — and explain the trade-offs plainly, including where the popular choice is the wrong one.
Choice of the country of registration
The recommendation follows from your commercial reality: where the income arises, where the management sits, who the counterparties are, and what the company must be able to prove about itself in three years’ time.
Types of companies
Which corporate form fits — private limited company, partnership, branch, holding structure — and what each implies for liability, reporting and the treatment of profits.
Company and bank account as a single project
A company without a working bank account cannot trade. We treat incorporation and account opening as a single project rather than two, and we tell you before incorporation which banks are realistically available to the structure being proposed. Details are set out under Foreign Bank Accounts.
Low-tax and zero-tax jurisdictions
Some jurisdictions levy no corporate income tax at all; others tax only distributed profits or only locally sourced income. These arrangements remain entirely legitimate, but they now come with real obligations — economic substance rules, beneficial ownership registers and automatic exchange of information (CRS) between tax authorities.
We will tell you honestly what a given structure requires you to maintain in practice, and what happens if these requirements are not met. Structures that exist only on paper are increasingly a liability rather than an advantage.
